Software License Agreement

1. Grant of License

Subject to the terms and conditions of this Agreement, QCAP Automation grants you a limited, non-exclusive, non-transferable license to use the QCAP Automation software and services ("Software") solely for your internal business purposes.

2. License Restrictions

You agree not to:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Distribute, sublicense, rent, lease, or lend the Software
• Use the Software for any unlawful purpose
• Remove or modify any proprietary notices or labels

3. Ownership

QCAP Automation retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of QCAP Automation.

4. Subscription Terms

Your use of the Software is subject to payment of applicable subscription fees. The license will remain in effect for the duration of your active subscription, subject to the terms of this Agreement.

5. Data Processing

You grant QCAP Automation the right to process data submitted through the Software solely for the purpose of providing the licensed services. We will maintain the confidentiality of your data in accordance with our Privacy Policy.

6. Support and Updates

QCAP Automation may provide updates, upgrades, and support services at its discretion. Any updates or upgrades provided will be subject to the terms of this Agreement unless accompanied by a separate license agreement.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. QCAP AUTOMATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL QCAP AUTOMATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE.

9. Indemnification

You agree to indemnify and hold harmless QCAP Automation from any claims, damages, or expenses arising from your use of the Software in violation of this Agreement or applicable law.

10. Termination

This Agreement is effective until terminated. QCAP Automation may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which QCAP Automation operates, without regard to conflict of law principles.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and QCAP Automation regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
